The owner of Acme Fireworks needs help! He has been contacted by several large businesses inquiring if the company could create several fireworks displays on a regular basis.

First, it will be determined if the owner has already entered into a legal contract with businesses he has been in contact with. Whether or not a legal contract has already been entered into, it must be determined if the contracts (or contract to be) will be governed by common law or the Uniform Commercial Code (UCC).

Next, responsibilities of Acme Fireworks in regards to personal liability to consumers whom my suffer injury resulting from our products will be considered. Finally, because the owner is considering changing the business entity, I will suggest a new entity for our future endeavors and explain how to form it form our current state.

The contracts with the businesses will be governed by common law. To determine which form of law will govern a contract between our firework company and its customers, there are a few things we must consider. The type of goods or services can determine if common law or the Uniform Commercial Code applies best.

In common law, the terms include quantity, price, performance time, nature of work, and identity of offer. The UCC evolved from common law, but only governs commercial transactions in which goods are moveable.

The contracts made between ACME Fireworks and the other large businesses include price per firework display and the nature of work. These are bothincluded in common law terms. If the quantity of fireworks per show are added to the agreements, which they should be, then contracts will become even more suited to common law.

Under these contract, ACME Fireworks will be creating and performing spectacular firework shows. Under common law, this can be described as a service in which companies will be purchasing. While the fireworks are moveable objects, which is considered in the UCC, they are not being sold independently.

The customers are actually purchasing the setup, display, and performance/show.

Service contracts are usually governed by common law, even though they include goods, they also involve services. Another difference between common law and UCC is the common law does not allowfor changes but the UCC does.

Considering that new employees may have to be hired to put on the firework shows, this can be very beneficial to our company. Having a set plan of operation that is outlined in the agreements could allow our new hires to become extremely proficient through repetition.
